Contracting Parties
Supplier: （hereinafter called “party A”）
Agent:（hereinafter called “party B”）： China Pasia Industries Co., Ltd.

After discussion, now the two parties come to this agreement: Party A hereby authorizes Party B to act as his selling agent to sell their waste paper and waste plastic from America, Europe, Australia, Canada, Japan and so on. Conditions mutually agreed upon are as follows:
1. Considering the authorization from Party A to Party B: Party A authorizes Party B to act as his general agent being responsible for the waste paper’s sales in China market. Party A will not process any advertising or sales in Party B’s relative market (the market Party B has involved in and the factories who have already had the business relationship with Party B).
2. Party A needs to offer the business license and the License of Registration For Overseas Supplier Enterprise of Imported Scrap Materials.
3. Considering the price: Party A will have to offer the newest quotation to Party B before every Tuesday (Chinese time) or before the time when anything changed according to the general condition. Special period will need special quotation.
4. Considering the responsibility of Party B: Party B needs to help make the contract between Party A and the company (factory), verifying the application of the L/C, Supervising the company (factory) to open the L/C. After the L/C is ready, Party B finishes his all the work on Contracts Party.
5. Considering the documents: Party A needs to fax the documents’ copy to Party B within 3 days and offer all the pictures of the products before their shipment so that Party B could understand the detailed condition and help the company (factory) to track the goods.

6. Considering the quality and the compensation after transaction: Once it happened that the quality doesn’t complies with the quality and specification stipulated in this Contract, Party B will present this to Party A immediately, and Party A should authorize Party B to send some one to the factory for a check through a standard way. If the quality is under the requirements agreed in the contract and the compensation claim funds is huge, Party A needs to process the compensation within 15 days based on the real quality of the products, the claiming report from the company (factory) and the evidence get from the scene of the products.

In addition: Party A should be responsible for all the financial loss and results of L/C returning,     and national policy penalty caused by quality problems or delayed documents arriving in the bank. The commission of Party B should be paid within 15 days after goods arriving at the port (or the contracted arriving time) without any influences.  2. Agreed commission and compensation should be carried out in accordance with the above agreements. 3. The transaction should be done or confirmed through fax or e-mail for the convenience of reservation.

The above agreements need to be obeyed strictly for both Party A and Party B. Any breaches of the contract will be litigated to the arbitration commitment or the local court for a solution. This agreements need to be signed and sealed. Fax copy will be effective respectively. This contract can be effective for about 2 years, resigned permitted. Four original copies in total, Party A and Party B holds two respectively.
